The Problem
Software deals move fast, and the data room shows what the seller chooses to show. Technical risk tends to surface after closing, when it's paid for out of your budget.
01 · Scalability
The deck says it scales, but nobody has tested that claim.
We review the architecture and load history against your growth plan.
02 · Key people
One engineer may hold the whole system in their head.
Team interviews and commit history show where knowledge sits and how concentrated it is.
03 · Licenses
A copyleft license could sit inside the core product.
We scan dependencies for licenses that restrict how the product can be sold.
04 · Cloud costs
Hosting costs may jump as customers grow.
We map cloud spend per customer and flag where costs will climb.
You've got a term sheet on a SaaS company and 3 weeks to close. The founders say the platform is built to scale, and the demo looks clean. But your team can't tell whether one engineer holds the whole system in their head. Nobody has checked whether the cloud bill doubles with the next 100 customers, or whether a copyleft license sits inside the core product. Those answers change the price. Find them after closing, and they come out of your 100-day budget.
We start with the questions your deal needs answered, then read the evidence: the repositories, the architecture, the cloud accounts, the release history, and the people. Each of 6 areas gets a red, amber, or green rating. Every finding says what it means for the deal: price, a condition, an escrow, or a post-close budget line. You get facts your lawyers and bankers can use, not a pile of developer opinions.
Evidence from the repository
Commit history, test coverage, and dependencies show how the product was really built.
Key-person risk named
We find out who holds critical knowledge and what happens to the product if they leave.
Findings tied to deal terms
Every red or amber rating comes with a suggested price, condition, or post-close action.
Our Technical Due Diligence Services Process
You agree the scope and questions before we start. Red flags reach you as soon as we find them, and the final report is built for your deal team.
We learn the deal: the target, the stage, your thesis, and the deadline. You tell us what worries you most. You get a fixed fee, a document request list for the seller, and a delivery date that fits your timeline.
What's Included
Six areas reviewed by senior engineers, each rated red, amber, or green. Every finding comes with evidence, its effect on value, and a suggested deal response.
Compare Options
Large firms bring brand weight, and your portfolio CTO knows your thesis. Here's where each fits, so you can match the review to the size of the deal.
| Feature | DeveloperLookBest fit | Large consultancy | Portfolio CTO |
|---|---|---|---|
| Best deal size | Seed to mid-market software | Large and complex deals | Deals inside your thesis |
| Hands-on code review | Senior engineers read the code | Varies by team | Depends on their time |
| First findings | Red-flag memo in 5 days | Set by their schedule | Fast when available |
| Findings tied to deal terms | Sometimes | ||
| Brand weight with lenders | Independent, lower profile | Strong | None outside your fund |
| Cost | Fixed fee from $1,450 | Highest fees | Internal time, no invoice |
| Independence | No stake in the deal | Independent | Your side, not neutral |
| After closing | 100-day plan available | Often a new engagement | Owns the follow-through |
Projects We've Built
Software platforms we designed and built. They show the kind of products we review, not diligence work, which stays confidential.
What Our Clients Say
Feedback from teams we have built software platforms for.
We had a pretty specific idea of what we wanted our website to become, but I wasn’t sure how easily we could explain all of it to a development team. There were quite a few moving parts, and we were working toward a deadline, so I expected a few things to get lost along the way. That never really happened. They understood what we were trying to achieve, kept us updated throughout the process, and got everything ready within the agreed timeline. The final site feels much easier to navigate, works beautifully on mobile, and is noticeably smoother for our customers. It was a huge relief seeing the original idea actually turn into the website we had in mind.
The mobile experience is probably my favourite part of the new site. We had spent a lot of time making sure the desktop version looked right, and the team kept pushing us to think about how everything would actually feel on a phone too. They were right. The navigation is clean, the interactions feel natural, and everything we’ve tested so far works exactly as it should. They also went through the links, forms, integrations, and other details more than once before launch, which I really appreciated. And even after going live, we could still reach out when something came up. The whole process felt friendly, organised, and surprisingly straightforward.
What I appreciate most is that the website is actually easy for us to manage now. We can update content ourselves instead of sending a developer a message every time we need to change something small. They also paid attention to the technical SEO side, which mattered to us because we didn’t want a new website to create problems for the traffic we already had. I’ve probably asked more questions than I should have since launch, but every question has been handled patiently and without any fuss. The team is easy to work with, they explain things clearly, and when we need something changed, they focus on getting it done rather than making the process complicated.

Work Culture
Diligence only helps if it's independent, fast, and quiet. These habits keep our findings useful to your deal team and fair to the company under review.
We sign your NDA, and the target's when needed, before any access. Data room material stays inside the engagement and is deleted after the report.
Red flags reach you within 5 business days of access, not at the end. You can renegotiate or walk away while there's still time.
Each finding says whether it affects price, needs a condition, or belongs in the post-close budget. Your deal team reads conclusions, not raw notes.
We don't give legal, financial, or valuation opinions. When a finding needs a lawyer or a security specialist, we say so plainly in the report.
We judge a product by its stage, not by big-company standards. A seed-stage shortcut isn't a red flag unless it blocks your plan.
On the top tier, red and amber findings become a costed 100-day plan. Your first board meeting starts with a budget, not a surprise.

Good fit
Venture investors before a round
You're leading a seed or Series A round in a SaaS company and want someone technical to check the product before the money moves.
Acquirers buying a software company
You're buying a software business and need M&A technical due diligence that shows what the code is worth to your plan.
Search funds and PE add-ons
Your fund is adding a software company to a platform and needs a technical due diligence consultant who can deliver inside a 3-week exclusivity window.
Founders preparing to sell
You're preparing your company for a sale or a round and want to find and fix what a buyer's reviewers will raise.
Corporate development teams
Your corp dev team reviews several targets a year and needs technical due diligence consulting without hiring a full-time technical lead.
Not a fit
Legal or financial diligence
You need contract, tax, or valuation work. A law firm and an accounting firm handle those; our report covers the technology only.
Security-only cyber review
You only need a cybersecurity assessment of the target. Cybersecurity Consulting goes deeper on security than our high-level check.
Reviewing your own code
There's no deal, and you want your own team's code reviewed. Code Audit Services costs less and is built for exactly that.
Budget under $1,450
You want a quick opinion on a pitch deck's technology slide. An hour with a technical advisor costs less than our Red-Flag Review.

Our reviews start at $1,450 for a Red-Flag Review of one product. A Full Diligence Review across all 6 areas costs $4,200, and the Deal and 100-Day Plan tier costs $7,600 for up to 3 products. You get a fixed fee after a free scoping call, before the data room opens.
A full review takes 2 to 4 weeks, depending on the tier and how fast the seller shares access. Red flags reach you within 5 business days of data room access. If your exclusivity window is shorter, we scope the review to fit it and say what that leaves out.
Technical due diligence is an independent review of a target company's technology before you invest in it or buy it. It checks the code, architecture, infrastructure, security posture, team, and licenses you're about to pay for. The goal is to find risks that change your deal: the price, its conditions, or the budget you'll need after closing.
It matters because software problems found after closing are paid for by the buyer. A product that can't scale, depends on one engineer, or ships restricted open-source code can cost more to fix than the deal saved. Technical diligence turns those unknowns into numbers you can negotiate with before you sign.
It surfaces risks early enough for you to price them in. Each red or amber finding gives you a response: a lower price, a closing condition, an escrow or holdback, or a funded fix after closing. Without the review, the same issues tend to show up in your portfolio later as missed roadmaps and unplanned hiring.
The report is the written result of the review: an executive summary, a rating for each area, and the evidence behind each finding. Ours rates 6 areas red, amber, or green and says what each finding means for the deal. Lawyers and bankers can read it without a technical background.
We assess code quality by reading the main repositories and measuring them. That covers complexity, duplication, test coverage, dependency age, and how often the build breaks. We also read the code that matters most to the product, such as billing and permissions, because metrics alone miss the design problems you would inherit.
The most useful metrics are test coverage, cyclomatic complexity, duplication, dependency age, and known vulnerabilities in packages. Delivery metrics matter too: deployment frequency, change failure rate, and time to restore service. We read each one against the company's stage, so you don't hold a seed-stage product to enterprise numbers.
Start by documenting your architecture, listing every third-party dependency with its license, and confirming who owns your code and cloud accounts. Fix exposed secrets and missing backups first, because reviewers flag them fast. Our Red-Flag Review can run on your own company, so you find the issues before a buyer's team does.
Yes. We sign NDAs with you and, when needed, with the target before any access. We work from read-only accounts, keep deal names off our public materials, and delete data room copies once the report is final. The target's team learns only what your deal process allows.
